Bylaws

Establishing fundamental rules, objectives, and procedures for managing the organization, its members, finances, and activities, ensuring alignment with the Constitution, Code of Ethics, and laws, governing everything from elections and finances to public policy engagement and specific standards development

  • The Executive officers of the Institute of Electrical and Electronics Engineers Student Branch at the University of Hawai`i at Mānoa (IEEE) shall be:

    1. Chair

    2. Vice-Chair

    3. Treasurer

    4. Secretary

    5. Events Coordinator

    6. Engineers' Council of University of Hawai`i (ECUH) Representative

    7. Student Advisory Board (SAB) Chair

    8. Webmaster

    9. Outreach Officer

    10. Fundraising Committee Chair

  • The Appointed officers of IEEE shall be:

    1. Historian

    2. Room Monitor

    3. Fundraising Committee Member

    4. Fridgemaster

  • All Executive Officers shall receive access to the IEEE room for their term of office. A position may be held by multiple persons.

    1. The Chair shall serve as the chief executive officer of the organization, shall preside at all meetings of the organization and shall prepare the agenda for the meetings. The Chair shall have other powers and duties as may be prescribed by the organization.

    2. The Vice-Chair shall preside at organization meetings in the absence of the Chair. The Vice-Chair shall perform all legal duties as assigned by the Chair. The Vice-Chair shall assume the office of Chair if the office becomes vacant.

    3. The Treasurer shall handle all financial affairs and budgeting of the organization, maintain all necessary accounting records, and prepare financial reports for the membership.

    4. The Secretary shall take minutes at all meetings of the organization, keep these on file, and submit copies to organization members upon request. The Secretary shall be responsible for all organization correspondence and shall keep copies on file. The Secretary shall maintain membership records for the organization.

    5. The Events Coordinator shall organize the set-up and execution of all organization hosted events. The Events Coordinator shall be responsible for location reservation (if applicable), equipment reservation (if applicable), and any other event related duties that may arise. The Events Coordinator shall create a written event plan and disseminate it to all members in the organization.

    6. The ECUH Representative shall be the liaison between IEEE and ECUH. The ECUH Representative will communicate requests from IEEE to ECUH and vice versa. The ECUH Representative shall have other duties as may be prescribed by both IEEE and ECUH.

    7. The SAB Chair shall serve as the chief executive officer of the SAB, shall preside at all meetings of the SAB, and shall prepare the agenda for the meetings. The SAB shall serve as a liaison between the Electrical and Computer Engineering student body and the Electrical Engineering faculty. 

    8. The Webmaster shall maintain and update the organization's website(s). The Webmaster shall also maintain all domains related to the organization.

    9. The Outreach Officer shall maintain the organization's social media. The Outreach Officer shall also oversee the creation of flyers and advertisements for the organization's events.

    The Fundraising Committee Chair shall oversee the Fundraising Committee. The Fundraising Committee shall communicate the results of fundraising events as well as bring fundraising proposals to the rest of the IEEE Board. The Fundraising Committee Chair shall also have the power to appoint, with the agreement of the majority of the IEEE Board, persons to serve positions within the Fundraising Committee.

  • All Appointed Officers shall receive access to the IEEE room for their term of office. A position may be held by multiple persons.

    1. The Historian shall document IEEE hosted events in the form of pictures, videos, and written summaries. This records shall be shared with the rest of the IEEE Board.

    2. The Room Monitor shall maintain the cleanliness of the room as well as ensure that the room policy is enforced.

    3. The Fundraising Committee Members shall help the Fundraising Committee Chair plan and execute fundraising events.

    4. The Fridgemaster shall be in charge of regularly cleaning the fridge. The Fridgemaster shall also make "fridge runs" to replenish the stock of items for the fridge.

    1. The IEEE Board shall have a Fundraising Committee that will plan and execute fundraising events during the year.

      1. The Fundraising Committee chair shall preside over the Fundraising Committee. If there is no Fundraising Committee Chair, the IEEE Board Chair may appoint another Executive Office to fill the position during the interim.

    2. The IEEE Board may, at any time, create an Associate Board to assist them in various tasks.

      1. The Vice-Chair shall be the Chair of the Associate Board. If there is no Vice-Chair, any person from the Executive Board may volunteer to be the Chair of the Associate Board.

      2. officer of the IEEE Board may volunteer to assist the Chair of the Associate Board.

      3. The Associate Board shall be open for anyone to join. Any persons shall become a member of the Associate Board immediately upon signing up.

      4. Associate Board members may not vote on bills unless they hold office in the IEEE Board.

    1. The IEEE Board may remove persons from the Associate Board only under extreme circumstances.

    1. During times of the election, the IEEE Board must create an Election Committee that shall oversee the process of the election.

      1. The Election Committee shall review all received ballots to record valid and strike invalid votes.

      2. The Election Committee shall release the number of votes and tally of votes per candidate after the end of the election. The Election Committee may not release any other information that may disclose a person's vote.

      3. Members of the Election Committee may not destroy or otherwise modify valid ballots.

      4. The Election Committee shall dissolve immediately after the results of the election are finalized.

  • During the time of the elections, the IEEE Board may decide to host ballots online. All ballots shall be kept secret to everyone except members of the Election Committee.

    1. Nominations for candidates shall begin on the first working day of March and continue for fifteen days.

    2. Elections shall occur the first working day in April and continue for fifteen days.

    3. Results of the election will be posted within five working days of the end of the election.

    4. All valid ballots must be counted.

    5. Any invalid ballot shall not be counted towards a candidate nor the vote total.

    1. If any member of the IEEE Board shall be found in violation of the bylaw, that member shall meet with the Chair and/or Vice-Chair and a faculty advisor to discuss the infraction.

    2. After sufficient warning, the IEEE Board will draft a bill, with faculty advisor approval, to remove the offending member.

    3. Any member may be forcefully removed from their position.

  • The IEEE Board shall adopt policies regarding conflicts of interest, whistleblower protection, and document destruction and retention.

    1. The IEEE Board, whenever a majority of the officers deem it necessary, shall propose Amendments to these bylaws.
